<p dir="ltr">The response of <a href="http://www.hot.net.il/" target="new">Hot Telecommunication Systems Ltd.</a> (TASE:<a>HOT.B1</a>) to the <a href="http://www.cellcom.co.il/" target="new">Cellcom Israel Ltd.&#8217;s</a> (NYSE:<a>CEL</a>; TASE:<a>CEL</a>) entry into the television market has led Cellcom to file a complaint against HOT with the Antitrust Authority and the Ministry of Communications.</p>
<p dir="ltr">Sources inform &#8220;Globes&#8221; that following the bargain offered by <a href="http://www.hotmobile.co.il/" target="new">HOT Mobile Ltd.</a> of two cellular lines for NIS 40, plus provision of Internet (a bargain for couples), Cellcom filed a strong complaint, demanding that HOT Mobile&#8217;s bargain be halted, which it said was aimed at disrupting its entry into the television market.</p>

<p dir="ltr">Cellcom entered the television market two weeks ago, and HOT Mobile offered its bargain for couples the same day. HOT Mobile&#8217;s campaign came as a surprise, even though Cellcom had taken into account such a scenario.</p>
<p dir="ltr">In its complaint, Cellcom showed why the couples bargain was a money loser from the beginning, and its sole purpose was therefore to detract from Cellcom&#8217;s core cellular activity. Cellcom sought to demonstrate to the Antitrust Authority that HOT Mobile&#8217;s campaign was an abuse of its monopoly power in the television market.</p>
<p dir="ltr">The couples bargain price includes VAT, meaning that a rough calculation gives a price of NIS 16.90 per line, while each such line adds to the cost that HOT Mobile is paying to Partner for the use of its network and to its regular costs, and the cost of the Internet provider adds a further NIS 20 a month. It therefore emerges in any reasonable calculation that HOT Mobile is selling lines at a loss, and its sole purpose is to damage Cellcom&#8217;s cellular business and deliver a message that competition in the television market will intensify the competition in the cellular market.</p>
<p dir="ltr">Cellcom is attempting to convince the Antitrust Authority that HOT Mobile has adopted this improper policy because Cellcom dared to enter the television market and square off against the duopoly of HOT and satellite company <a href="http://www.yes.co.il/YesAbout_English.aspx" target="new">DBS Satellite Services (1998) Ltd.</a> (YES). Cellcom also emphasized that HOT Mobile&#8217;s bargain came on the same day that Cellcom launched its television services, showing that HOT had planned its measure in advance, and instead of lowering its television prices, had cut its prices for cellular services. This response, which includes an extensive advertising campaign, cannot be devised in a single day, and it is therefore obviously the result of planning designed to halt Cellcom in its tracks, and deliver messages already in the opening stage of competition.</p>
<p dir="ltr">One important question that the Antitrust Authority and the Ministry of Communications will have to assess is the fate of the structural separation applying to HOT when the company is using its cellular subsidiary to weaken its television competitors. Under the terms of its license, HOT Mobile is obligated to operate as a separate company, and its response indicates that it is operating as a communications group using its entire arsenal, in contravention of its license.</p>
<p dir="ltr">HOT Mobile said in response, &#8220;HOT Mobile challenged the market, and will challenge the market, with no connection to Cellcom&#8217;s measure. We regret the inconvenience caused for Cellcom by the couples campaign. Cellcom should realize that it is in a competitive market, and will operate on the same playing field as everyone else, instead of turning to the Antitrust Authority director general with baseless assertions. Cellcom&#8217;s attempt to prevent consumer competition brings us back to the days of limited competition between the veteran players, which is regrettable.&#8221;</p>

<p dir="ltr">In an attempt to cope with the harsh criticism of its services, <a href="http://www.hot.net.il/" target="new">Hot Telecommunication Systems Ltd.</a> (TASE: <a>HOT.B1</a>) announced today that it is adding 450 customer service staff to its hotlines. Over recent months, the company’s service sunk to unacceptable levels, with thousands of customers complaining daily about service so poor, it can hardly be described in polite language.</p>

<p dir="ltr">The company announced that it will hire more than 450 customer service representatives over the summer &#8211; 200 already in July, and it is expected to invest more than NIS 25 million by the end of the year in improving the customer experience.</p>
<p dir="ltr">Hot CEO Ilan Zachi said today: “Improving service is at the top of the company’s agenda. To this end, we are taking a series of steps that the entire company is invested in. This is a process to which we are all committed &#8211; we will work to make the improvement felt already in the near future.”</p>
<p dir="ltr">Hot’s quality of service suffered a severe blow from the moment it was decided to outsource it. This holds true for both representatives and technical support, which were outsourced to a third-party company. The process reached its peak in the first half of the year, and it seems that it reached new lows, the likes of which had never before been known in the history of communications company-customer relations. Thousands of Hot customers have protested the service and, only now, after the Ministry of Communications levied a fine of NIS 1.3 million for deficient service and hours-long waits for representatives, it was decided to increase the number of representatives.</p>
<p dir="ltr">Hot’s service has had ups and downs for many years, and it can safely be said that service has never been the company’s strongest suit &#8211; this stems from financial considerations alone. The company’s service is characterized by the fact that the moment they want to improve profitability, they cut service, and then experience a wave of complaints, after which they again hire representatives, then see that the service has stabilized, and again lay off employees to improve their bottom line. We can only hope that, this time, in light of the waves of public protest, the service will stabilize and not deteriorate.</p>

<p dir="ltr">Will <a href="http://www.hot.net.il/" target="new">Hot Telecommunication Systems Ltd.</a> do for the international calls market what Golan Telecom did for the mobile market and significantly lower prices? Hot announced today that it is offering unlimited calls to 31 countries for just NIS 10 monthly to overseas landlines, and the price also includes calls to mobile phones in the US and Canada.</p>
<p style="text-align: left;" dir="ltr">Countries included in the package are: Argentina, Austria, Belgium, Britain, Ireland, Italy, Denmark, Holland, Luxembourg, South Africa, Hong Kong, Hungary, France, Australia, New Zealand, Canada and the US.</p>
<p style="text-align: left;" dir="ltr">Calls to mobile phones in countries other than the US and Canada will cost on average NIS 0.65 per minute.</p>
<p dir="ltr">The package will be branded as Hot 017. TASC consultants advised Hot that Israel&#8217;s overseas calls market is worth NIS 900 million annually 66.6% from the private market and 33.3% from the business sector. Over 50% of international calls are from landlines and 85% to landlines.</p>

<p style="text-align: left;" dir="ltr">Following <a href="http://www.hot.net.il/" target="new">HOT Telecommunication Systems Ltd.</a> (TASE: <a>HOT</a>) announcement that it is upgrading Internet access speeds to 100 Mbps, market sources believe that the telecom provider is struggling to compete with <a href="http://www.bezeq.co.il/" target="new">Bezeq Israeli Telecommunication Co. Ltd.</a> (TASE: <a>BEZQ</a>) because rival Internet Service Providers (ISPs) are recommending Bezeq&#8217;s infrastructure to their customers. This is a form of revenge against Hot for entering the ISP market and hurting the existing players.</p>
<p style="text-align: left;" dir="ltr">Sources close to Hot have confirmed to &#8220;Globes&#8221; that they have clearly discerned this trend as a main reason for the gap between Bezeq and Hot in the landline-telecom infrastructure market.</p>
<p style="text-align: left;" dir="ltr">In 2012, Bezeq succeeded in capturing almost all the growth in the Internet market. At the beginning of the year, Hot had shaken up the market by establishing Hot.Net, its ISP unit with speeds of up to 10 Mbps for just NIS 20 per month. However, despite the low price Hot failed to capture a major market share.</p>

<div id="EN_main_Content" style="text-align: left;" dir="ltr"><a href="http://www.hot.net.il/" target="new">Hot Telecommunication Systems Ltd.</a> (TASE: <a>HOT.B1</a>) today announced that as part of its deployment of a fiber optic cable, it will upgrade Internet access of customers to 12 Mbps, 30 Mbps, or 100 Mbps, depending on their triple (telephony, mobile, and Internet) plans for free. More than 70% of Hot&#8217;s customers will receive the 100-Mbps upgrade.Hot&#8217;s announcement following a similar offer by <a href="http://www.bezeq.co.il/" target="new">Bezeq Israeli Telecommunication Co. Ltd.</a> (TASE: <a>BEZQ</a>).</p>
<p>Hot will offer 100-Mbps Internet access to all customers for one year for free. A customer interested in a triple plan will receive100-Mbps Internet access for NIS 149 per month.</p>
<p>Hot will also invest NIS 500 million to deploy its fiber optic network in Rishon LeZion, Beersheva, Netanya, Haifa, and Shoham. At today&#8217;s press conference, Hot CEO Herzel Ozer said that the project would be completed within four years, and that it was part of the company&#8217;s strategy for the telecommunications market.</p>

<div id="EN_main_Content" style="text-align: left;" dir="ltr">Less than two years since being appointed to the post, Stella Handler, chairperson of <a href="http://www.hot.net.il/" target="new">Hot Telecommunication Systems Ltd.</a>, announced her resignation today.Handler is leaving following the delisting of Hot from the Tel Aviv Stock Exchange and its transformation into a private company, and after reaching the conclusion that, in the new structure, her role will become much less important.</p>
<p>&#8220;The change to being a private company, together with the completion of a number of strategic moves that have positioned Hot in its rightful place in the market, led me to the decision that this is the right time for me to leave the company,&#8221; Handler said today, and added that &#8220;I should like to thank Patrick Drahi for his support and his faith in me, which greatly helped me in leading the company forward.</p>
<p>&#8220;I leave a strong, forward-looking management, dedicated and professional employees, and a company with a clear and coherent strategy,&#8221; Handler added.</p>
<p>In recent weeks, rumors were rife that Handler would leave, but she denied them forcefully. However, communications market sources estimated that the delisting of Hot, and the fact that Patrick Drahi, the controlling shareholder, will be more involved in the company, led Handler to draw her conclusions and to seek other challenges.</p>
<p>Handler was ranked number one in the &#8220;Lady Globes&#8221; survey of women senior executives last year. In 2011, her salary cost was NIS 14.8 million, of which NIS 1.8 million was salary, NIS 2 million was a bonus, and NIS 11 million was in the form of options that were out of the money at the time of the delisting of the stock.</p>

<p style="text-align: left;" dir="ltr">Rumors have been making the rounds at Hot Mobile that it might be operationally merged with Hot Telecommunications, because as a private company, it will be easier for its owner, Patrick Drahi, to merge the companies&#8217; businesses.</p>
<p style="text-align: left;" dir="ltr">Formally, the two companies must be kept separate, which is the position of the Ministry of Communications, but this is a dead letter in practical terms, and the companies are extending their collaboration ahead of turning Hot into a unified telecommunications company.</p>
<p style="text-align: left;" dir="ltr">Employees are talking about mergers in the financial, personnel, logistics, customer service, and other departments. There are apparently no plans to merge the companies&#8217; engineering departments at this time. Sources inform &#8221;Globes&#8221; that Hot Mobile&#8217;s management has been asked to draw up streamlining plans this year, which may be the source of the employees&#8217; fears.</p>

Ltd.</a> (TASE: <a>BEZQ</a>) unit Yes (DBS Satellite Services 1998 Ltd.) is launching a basic package including 15 channels for NIS 129 per month, and the price will likely rise to NIS 149 after 12 months. <a href="http://www.hot.net.il/" target="new">Hot Telecommunication Systems Ltd.</a> (TASE: <a>HOT</a>) is launching a similar basic package including 16 channels for NIS 129 per month. These special prices are on offer for one month and subscribers who sign up this month will receive a fixed price of NIS 129 for 18 months.Subscribers who sign up for the basic package with Yes and then want to add channels will be able to do so. Hot customers however will not be allowed to add channels to the basic package.</p>
<p>Yes also decided to leave the RGE sports channel out of the basic package and replace it with Yediot Ahronot unit One. Hot, unlike Yes, offers its basic movie channel within the basic package.</p>
<p>Other channels in Yes&#8217;s basic package include the Children&#8217;s channel, while Hot will replace that channel with the Saban Group&#8217;s new Zoom channel. Other Yes channels will include yes Doco, radio stations channel, Yes base serials (the equivalent of Hot 3), non-TV channels 9 and 24, and basic Israeli TV channels 1, 2, 10, 33, 99 (Knesset) and 23 (Education TV). The package will also include Community TV channel 98.</p>
<p>Hot&#8217;s basic package costing NIS 129 this month instead of the regular price of NIS 149 includes 16 channels: 1, 2, 10, 23, 99, 24, 9, 33, Hot Music (Radio channels FM + 4 music channels free), Hala TV, Shopping Channel, Community Channel, Zoom, One, Hot Films, and Hot Family serials.</p>
